1. Acceptance of Terms

These Terms and Conditions ("Terms") govern access to and use of the website, mobile application, and related services branded as "AlphaRupee" (collectively, the "Platform"), owned and operated by CopperHive Technologies Private Limited ("CopperHive", "AlphaRupee", "Company", "we", "us", or "our"). By accessing, browsing, registering on, or availing any service through the Platform, you ("User", "you", or "your") agree to be bound by these Terms, our Privacy Policy (which is incorporated by reference into these Terms), and any additional terms, Key Fact Statement ("KFS"), or loan agreement applicable to a specific loan product. If you do not agree to these Terms, please do not access or use the Platform.

These Terms constitute an electronic record under the Information Technology Act, 2000, and rules made thereunder, and are published in accordance with Applicable Law, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as applicable. No physical or digital signature is required for these Terms to be binding on you.

Where any provision of these Terms conflicts with the specific terms of the Key Fact Statement or loan agreement executed between you and a Partner Lender in respect of a particular loan, the terms of that Key Fact Statement/loan agreement shall prevail to the extent of such conflict, solely in respect of that loan.

2. Definitions

Unless the context otherwise requires, capitalised terms used in these Terms shall have the meaning given below, or, if not defined herein, the meaning assigned to such terms in the Privacy Policy:

"Applicable Law" means the Digital Personal Data Protection Act, 2023; the Information Technology Act, 2000; the RBI Digital Lending Guidelines; the Reserve Bank of India (Non-Banking Financial Companies – Responsible Business Conduct) Directions, 2025 ("RBI RBC Directions"); the Indian Contract Act, 1872; and other applicable Indian laws, rules, and regulatory guidance, as amended or replaced from time to time.

"Key Fact Statement" or "KFS" means the standardised statement of key facts of a loan agreement provided to a prospective borrower prior to execution of the loan contract, as prescribed under the RBI Digital Lending Guidelines.

"Lending Service Provider" or "LSP" means an agent of a Regulated Entity who carries out, on behalf of the Regulated Entity, one or more of the lender's functions in customer acquisition, underwriting support, pricing support, disbursement, servicing, monitoring, collection, or recovery of a specific loan or loan portfolio, in accordance with the RBI Digital Lending Guidelines.

"Partner Lender" or "RE" means a Non-Banking Financial Company, bank, or other entity regulated by the RBI, on whose behalf CopperHive sources, facilitates, services, or supports recovery of loans through the Platform.

"Services" means the services made available by CopperHive through the Platform, including loan sourcing, application facilitation, KYC and verification support, disbursement facilitation, servicing, and recovery/collection support, on behalf of Partner Lenders.

"User Content" means any information, data, or documents that you submit, upload, or transmit through the Platform.

3. Eligibility

To access or use the Platform, you must:

  • Be at least 18 (eighteen) years of age;
  • Be competent to enter into a contract under the Indian Contract Act, 1872, and not be disqualified from contracting under Applicable Law;
  • Be a resident of India, or otherwise permitted to avail the Services under Applicable Law;
  • Possess a valid and operational mobile number and email address registered in your name;
  • Provide true, accurate, current, and complete information during registration and at all times thereafter; and
  • Not be a person or entity barred from availing credit facilities under any Applicable Law, including any list of wilful defaulters or persons debarred by the RBI, SEBI, or any other regulator.

CopperHive reserves the right to refuse registration, suspend, or terminate access to the Platform where it reasonably believes these eligibility criteria are not met, without being obliged to provide reasons.

4. Nature of Services; Role of CopperHive as LSP

CopperHive is not a bank, non-banking financial company, or any other regulated lending entity, and does not itself sanction, fund, or disburse loans. CopperHive functions solely as a Lending Service Provider in accordance with the RBI Digital Lending Guidelines, and undertakes customer acquisition, credit-assessment support, disbursement facilitation, servicing, and recovery/collection support on behalf of, and under written agreement with, Partner Lenders.

All loan applications submitted through the Platform are evaluated, and all decisions relating to sanction, terms, disbursement, and administration of a loan are made, solely by the relevant Partner Lender in its sole and absolute discretion. CopperHive does not guarantee that any loan application will be approved, or that any particular loan amount, tenor, or rate of interest will be offered.

The identity of the Partner Lender associated with a specific loan product, and the terms applicable to that loan, will be disclosed to you through the Key Fact Statement prior to execution of the loan agreement, in accordance with the RBI Digital Lending Guidelines and the RBI RBC Directions.

5. Registration, Account Security and User Information

You are required to register on the Platform to avail the Services, using accurate and current information. You are solely responsible for maintaining the confidentiality of your account credentials, one-time passwords (OTPs), and any other authentication factors, and for all activities that occur through your account, whether or not authorised by you.

You must notify CopperHive immediately, through the contact details in Clause 21, upon becoming aware of any unauthorised use of your account or any other breach of security. CopperHive shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

Only one account per individual is permitted on the Platform. CopperHive reserves the right to suspend or deactivate any account it reasonably suspects to be fraudulent, duplicate, or used in violation of these Terms.

6. KYC, Verification, Credit Information and Consents

You agree to complete Know Your Customer ("KYC") verification and provide such documents and information as may be required by CopperHive and/or the relevant Partner Lender under Applicable Law, including the Reserve Bank of India's KYC norms and the Prevention of Money Laundering Act, 2002.

You expressly consent to CopperHive and the relevant Partner Lender verifying your identity, address, and other information through permitted channels, including UIDAI/Aadhaar-based e-KYC, DigiLocker, and other government-authorised databases, and to obtaining your credit information and credit score from Credit Information Companies for the purposes of assessing your loan application and monitoring your creditworthiness during the tenor of any loan.

You represent and warrant that all information and documents submitted by you are true, accurate, and not misleading. Submission of false, forged, or misleading information may result in immediate rejection of your application, suspension or termination of your account, reporting to relevant authorities, and such other action as may be available to CopperHive and the Partner Lender under Applicable Law.

7. Loan Products, Key Fact Statement and Loan Agreement

Loan products displayed or offered through the Platform are the products of, and are sanctioned, funded, and disbursed by, the relevant Partner Lender. Prior to execution of a loan contract, you will be provided a Key Fact Statement, bearing a unique proposal number and valid for the period prescribed under the RBI RBC Directions, disclosing, among other things, the sanctioned loan amount, interest rate, fees and charges, annual percentage rate, repayment schedule, and recovery mechanism applicable to that loan.

Digitally signed copies of the Key Fact Statement, loan agreement, sanction letter, and other related disclosures will be sent to your registered and verified email address and/or mobile number upon execution of the loan contract, in accordance with the RBI Digital Lending Guidelines.

Where the loan is a digital loan, any cooling-off or look-up period during which you may prepay the loan without penalty, as disclosed in the KFS, shall apply in accordance with the relevant Partner Lender's Board-approved policy.

The loan agreement executed between you and the Partner Lender, and not these Terms, governs the substantive terms of your loan, including interest, fees, repayment, default, and remedies. These Terms apply to your use of the Platform generally, in addition to, and not in derogation of, the loan agreement.

8. Fees, Charges and Interest

All interest rates, processing fees, and other charges applicable to a loan are disclosed to you in the Key Fact Statement and sanction letter prior to execution of the loan agreement. No fee, charge, or penalty that is not disclosed in the Key Fact Statement may be levied on you at any stage during the term of the loan, without your explicit consent.

CopperHive may, under its agreement with the relevant Partner Lender, receive a service or platform fee from the Partner Lender for facilitating the loan; unless otherwise disclosed to you, such fee is not charged to or recovered from you separately. Any convenience fee, if charged to you directly for use of the Platform, will be disclosed upfront before you incur it.

All monetary transactions on the Platform, including interest and charges, shall be rounded off to the nearest rupee, in accordance with the RBI RBC Directions.

9. Repayment, Penal Charges and Pre-payment

You are required to repay the loan in accordance with the repayment schedule set out in your loan agreement and Key Fact Statement, through the payment modes made available on the Platform or otherwise specified by the Partner Lender.

Any penalty for non-compliance with material terms of the loan contract, including delayed repayment, shall be levied by the Partner Lender only in the form of reasonable, non-discriminatory 'penal charges' (and not 'penal interest' added to the rate of interest), with no capitalisation of such charges, in accordance with the RBI RBC Directions.

Pre-payment and foreclosure charges, if any, will be disclosed in the Key Fact Statement and loan agreement, and levied strictly in accordance with the RBI RBC Directions, including the prohibition on pre-payment charges for specified categories of floating-rate loans to individual borrowers.

10. Recovery, Collections and Contact Practices

Where you default in repayment, CopperHive, the Partner Lender, or recovery agents engaged by them may contact you for recovery of dues, using fair, transparent, and non-coercive means, and only during hours and in a manner permitted under the RBI RBC Directions and the Partner Lender's Fair Practices Code.

Neither CopperHive nor any recovery agent engaged on its or the Partner Lender's behalf shall resort to threatening or abusive language, persistent calls outside permitted hours, harassment of your relatives, friends, or co-workers, public humiliation, misleading representations about the extent of your debt, or any other harsh recovery practice prohibited under Applicable Law.

Details of any recovery agent authorised to contact you, together with the applicable notice and authorisation, will be provided to you at the commencement of the recovery process. If you believe you have been subjected to any recovery practice inconsistent with this Clause, you may raise a grievance under Clause 21.

11. User Representations, Warranties and Obligations

By using the Platform, you represent and warrant that:

  • All information provided by you is true, accurate, and complete, and you will promptly update it if it changes;
  • You will use the Platform and any loan availed through it solely for lawful purposes, and not for money laundering, terrorist financing, or any other unlawful activity;
  • You are solely responsible for evaluating the suitability of any loan product for your financial circumstances before applying;
  • You will comply with Applicable Law and the terms of any loan agreement you execute with a Partner Lender; and
  • You will keep your contact details and KYC information updated with CopperHive and the relevant Partner Lender at all times.

12. Prohibited Activities

You shall not, and shall not attempt to:

  • Access or use the Platform for any fraudulent, unlawful, or unauthorised purpose;
  • Submit multiple loan applications using false or duplicate identities;
  • Reverse-engineer, decompile, scrape, or otherwise attempt to extract the source code or underlying data of the Platform;
  • Introduce any virus, malware, or other harmful code into the Platform, or attempt to disrupt or circumvent its security features;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Violate the intellectual property or other proprietary rights of CopperHive or any third party; or
  • Use the Platform in any manner that could disable, overburden, damage, or impair it, or interfere with any other party's use of the Platform.

Violation of this Clause may result in immediate suspension or termination of your access to the Platform, without prejudice to any other rights or remedies available to CopperHive or the Partner Lender under Applicable Law.

13. Intellectual Property Rights

The "AlphaRupee" name and logo, the Platform, and all content, software, trademarks, and other intellectual property made available through the Platform are owned by, or licensed to, CopperHive, and are protected under applicable intellectual property laws. Subject to your compliance with these Terms, CopperHive grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform solely for your personal, non-commercial use in connection with availing the Services. No other right, title, or interest in the Platform or its content is transferred to you.

14. Communications, Notices and Consent to Contact

By registering on the Platform, you consent to receive transactional and, where separately consented, promotional communications from CopperHive and/or the relevant Partner Lender via SMS, WhatsApp, e-mail, push notification, and voice call, including for purposes of loan servicing, recovery, and customer support. Such communications, where sent by or on behalf of a telemarketer, shall be sent in compliance with the Telecom Regulatory Authority of India's Distributed Ledger Technology (DLT) and Do Not Disturb (DND) regulations.

You may opt out of promotional communications at any time; however, transactional, regulatory, or loan-servicing communications relating to an active loan cannot be opted out of, as continued receipt of such communications is necessary for the performance of the loan contract.

All notices under these Terms may be given electronically, including via e-mail, SMS, or in-app notification, and shall be deemed validly served in accordance with Sections 4 and 5 of the Information Technology Act, 2000.

15. Third-Party Services and Links

The Platform may contain links to, or integrate with, third-party services, including payment gateways, Account Aggregators, Credit Information Companies, KYC verification providers, and other technology partners engaged by CopperHive to facilitate the Services. Your use of such third-party services is subject to their respective terms and privacy policies, which you are encouraged to review. CopperHive is not responsible or liable for the acts, omissions, content, or practices of any third party.

16. Privacy and Data Protection

Our collection, use, storage, sharing, and protection of your Personal Data is governed by the AlphaRupee Privacy Policy, available at www.alpharupee.in (the "Privacy Policy"), which is incorporated by reference into, and forms an integral part of, these Terms. By using the Platform, you also agree to the Privacy Policy.

17. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted under Applicable Law, CopperHive disclaims all warranties, express or implied, including warranties of uninterrupted or error-free access, merchantability, or fitness for a particular purpose. CopperHive does not warrant or guarantee approval of any loan application, the availability of any particular loan product, or the accuracy of any indicative interest rate or eligibility estimate displayed on the Platform prior to formal sanction by a Partner Lender.

Nothing on the Platform constitutes financial, investment, tax, or legal advice. You are encouraged to independently assess your financial circumstances, and to seek professional advice, before availing any loan.

18. Limitation of Liability

To the maximum extent permitted under Applicable Law, CopperHive, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your access to or use of (or inability to use) the Platform, whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages.

Subject to Applicable Law, the aggregate liability of CopperHive to you in respect of all claims arising out of or in connection with these Terms shall not exceed INR 1,00,000/- (Indian Rupees One Lakh Only). Nothing in this Clause shall limit or exclude CopperHive's liability for fraud, wilful misconduct, gross negligence, or any liability that cannot be excluded or limited under Applicable Law.

19. Indemnification

You agree to indemnify and hold harmless CopperHive, its directors, officers, employees, agents, and the relevant Partner Lender, from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms or any loan agreement; (b) your violation of any Applicable Law; (c) your misuse of the Platform; or (d) your infringement of any third-party right, including intellectual property or privacy rights.

20. Suspension, Termination and Survival

CopperHive may suspend or terminate your access to the Platform, with or without notice, if it reasonably believes you have breached these Terms, engaged in fraudulent or unlawful conduct, or where required to do so under Applicable Law or a direction of a regulator. You may deactivate your account at any time by writing to us, subject to settlement of any outstanding obligations under an active loan.

Termination of your access to the Platform does not affect your obligations under any loan agreement already executed with a Partner Lender, which shall continue to bind you in accordance with its terms. Clauses relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any other clause which by its nature should survive, shall survive termination of these Terms.

21. Grievance Redressal Mechanism

In accordance with the Information Technology Act, 2000 and the RBI Digital Lending Guidelines, CopperHive has appointed a Grievance Redressal Officer to address queries and grievances relating to the Platform and the Services. Consistent with the institutional-framework requirements under the RBI RBC Directions, our grievance redressal mechanism ensures that disputes are heard and disposed of at, at least, the next higher level of management.

We will acknowledge and address grievances within the timelines prescribed under Applicable Law. If you are not satisfied with the resolution provided, you may escalate the grievance to the Nodal Grievance Redressal Officer of the relevant Partner Lender, and thereafter, if unresolved, to the RBI through the channels indicated in the applicable Key Fact Statement.

22. Force Majeure

CopperHive shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disaster, pandemic, war, civil unrest, governmental action, internet or telecommunications failure, or failure of third-party systems or infrastructure.

23. Governing Law, Jurisdiction and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the dispute resolution or arbitration provisions, if any, contained in your loan agreement with the relevant Partner Lender (which shall govern disputes specific to that loan), the courts at Bangalore shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms and your use of the Platform.

24. Amendment of Terms

We may update these Terms from time to time to reflect changes in our practices, technology, or legal and regulatory requirements. The updated Terms will be posted on the Platform with a revised "Last Reviewed" date, and, where the changes are material, we will notify you through the Platform, email, SMS, or other appropriate means. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.

25. General Provisions

These Terms, together with the Privacy Policy and the applicable Key Fact Statement/loan agreement, constitute the entire agreement between you and CopperHive in respect of your use of the Platform, and supersede all prior agreements or understandings on the subject matter hereof.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No failure or delay by CopperHive in exercising any right under these Terms shall operate as a waiver of that right. You may not assign or transfer your rights or obligations under these Terms without CopperHive's prior written consent; CopperHive may assign these Terms to any Partner Lender, affiliate, or successor in connection with a merger, acquisition, or transfer of business, upon notice to you. Nothing in these Terms shall be construed to create a partnership, joint venture, or agency relationship between you and CopperHive.
